These Terms of Use (“Terms”) govern your access to and use of SpikeClinic AI’s website and services. By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Eligibility & Accounts
- You must be able to form a binding contract or have parental/guardian consent where required.
- You are responsible for the accuracy of information provided and keeping account credentials secure.
2) Acceptable Use
- No unlawful, infringing, or harmful activities.
- No attempts to reverse engineer, scrape, or misuse the Services or underlying models.
- No content that is fraudulent, harassing, hateful, or otherwise objectionable.
3) User Content & License
You retain ownership of your content. You grant us a worldwide, non-exclusive, royalty-free license to host, use, reproduce, and create derivative works from your content as needed to operate and improve the Services (including to train, evaluate, or tune models in aggregated and/or de-identified form where permissible).
4) AI Output & Guidance Disclaimer
Our assessment and recommendations use AI and expert-informed algorithms. Outputs are for informational and educational purposes only and are not guarantees of admission or outcomes. SpikeClinic AI is not a replacement for comprehensive college counseling; it is an enabler to help you identify direction at a fraction of the cost.
5) Fees
Pricing for early-bird and standard offerings may change. Taxes and third-party processing fees may apply. Refunds are handled per the policy disclosed at purchase, if applicable.
6) Intellectual Property
The Services, including content, software, and trademarks, are owned by SpikeClinic AI or its licensors. Except as permitted by these Terms, you may not copy, modify, distribute, or create derivative works from the Services.
7) Third-Party Services
We may link to or integrate third-party services (e.g., payment processors, analytics). We are not responsible for their content or practices. Your use of third-party services is governed by their terms and policies.
8) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
9) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIKECLINIC AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.
10) Indemnity
You agree to indemnify and hold harmless SpikeClinic AI and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.
11) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA (without regard to conflicts of laws). Any dispute will be resolved through binding arbitration on an individual basis, and you waive any right to participate in a class action, except where prohibited by law.
12) Termination
We may suspend or terminate access for any reason, including breaches of these Terms. You may stop using the Services at any time. Certain provisions survive termination (e.g., IP, disclaimers, limitation of liability).
13) Changes to These Terms
We may update these Terms from time to time. The “Last updated” date reflects the latest changes. Continued use of the Services after updates constitutes acceptance of the revised Terms.
